1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Plotweaver Inc.'s ("Plotweaver," "we," "us," or "our") website, API, SDKs, Studio platforms, and any other software, tools, features, or functionalities provided on or in connection with our services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Plotweaver provides a unified voice AI platform offering capabilities such as text-to-speech (TTS), speech-to-text (STT), machine translation, voice cloning, live real-time voice synthesis, and content adaptation (e.g., manuscript to screenplay, script generation).

We continually evolve our Services. As such, Plotweaver reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, though we will make reasonable efforts to notify you of significant changes.

3. User Accounts

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activities that occur under your account.
• Promptly notify us of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that we suspect of unauthorized or fraudulent activity.

4. User Content and Intellectual Property

Your Content: You retain all rights and ownership to the manuscripts, videos, audio files, text, and other materials you submit to the Services ("User Content"), as well as the output generated by the Services based on your User Content.

License to Plotweaver: By submitting User Content, you grant Plotweaver a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely as necessary to provide the Services to you. We will not use your confidential User Content to train our foundation AI models without your explicit opt-in consent.

Voice Cloning Rights: If you use our voice cloning features, you represent and warrant that you have all necessary rights, permissions, and valid legal consent from the individual whose voice is being cloned. Plotweaver reserves the right to request proof of consent at any time.

5. Acceptable Use Policy

You agree not to use the Services to:

• Generate or distribute content that is illegal, defamatory, harassing, abusive, fraudulent, or obscene.
• Clone a person's voice without their explicit, documented consent, or clone the voices of public figures, politicians, or celebrities without authorization.
• Create "deepfakes" intended to deceive, spread misinformation, or commit fraud.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services.
• Bypass rate limits, scrape our platform, or interfere with the proper functioning of the Services.

Violation of this policy may result in immediate suspension or termination of your account and potential legal action.

6. Fees and Payment

Certain aspects of the Services are provided for a fee, such as subscription plans or pay-as-you-go API usage. By selecting a paid tier or using paid services, you agree to pay Plotweaver the fees indicated for that service.

Language Output Minutes (LOM): Usage for many of our tools is metered in LOMs or API requests. Overages beyond your plan's included limits will be billed at the stated overage rates.

Billing: Fees are non-refundable except as required by law or as explicitly stated in a separate agreement (e.g., Enterprise SLA). We reserve the right to change our prices at any time upon notice to you.

7. Disclaimers and Limitations of Liability

Disclaimer of Warranties: The Services are provided "AS IS" and "AS AVAILABLE." Plotweaver disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the audio or scripts generated will be perfectly accurate, error-free, or meet your specific requirements.

Limitation of Liability: To the maximum extent permitted by law, Plotweaver shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.

8. Termination

You may terminate your account at any time by contacting support or using the account dashboard. Plotweaver may suspend or terminate your access to the Services at any time, for any reason, including violation of these Terms.

Upon termination, your right to use the Services will immediately cease, and we may delete your User Content in accordance with our data retention policies.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in London, England.
